1. Acceptance of Terms

These Terms of Use (“Terms”) govern your access to and use of the services, software, and website provided by CoorWorks Inc. (“CoorWorks,” “we,” “us,” or “our”), including the CoorWorks platform accessible at coorworks.com and any associated applications (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

CoorWorks provides managed enterprise workflow solutions including lock management software, cash operations management, and related services. The Service is provided on a subscription or contractual basis as defined in your Master Services Agreement (MSA) or other written agreement with CoorWorks.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify CoorWorks immediately at support@coorworks.com of any unauthorized use of your account. CoorWorks is not liable for any loss arising from unauthorized use of your account.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable law or regulation.
• Attempt to gain unauthorized access to any part of the Service, other accounts, or systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse engineer, decompile, or disassemble any portion of the Service.
• Use the Service to transmit malware, viruses, or other malicious code.
• Resell, sublicense, or redistribute the Service without written authorization.

5. Intellectual Property

The Service, including all software, documentation, content, designs, and trademarks, is owned by CoorWorks Inc. and protected by intellectual property laws. Your use of the Service does not grant you ownership of any intellectual property rights in the Service. You retain ownership of any data you upload to the Service.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, available at coorworks.com/privacy. CoorWorks processes customer data in accordance with applicable data protection regulations and the terms of your MSA or Data Processing Addendum (DPA).

7. Service Availability

CoorWorks makes commercially reasonable efforts to maintain the availability of the Service. However, the Service is provided on an “as is” and “as available” basis. CoorWorks does not guarantee uninterrupted or error-free operation. Planned maintenance windows will be communicated in advance when possible. Service level commitments, if any, are defined in your MSA.

8. Limitation of Liability

To the maximum extent permitted by applicable law, CoorWorks shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity arising from your use of the Service. CoorWorks’s total liability for any claim arising under these Terms shall not exceed the fees paid by you to CoorWorks in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless CoorWorks, its officers, directors, and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

10. Termination

CoorWorks may suspend or terminate your access to the Service if you violate these Terms or if required by law. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) will survive.

11. Changes to Terms

CoorWorks may update these Terms from time to time. Updated Terms will be posted at coorworks.com/terms with the effective date. Continued use of the Service after changes constitutes acceptance of the updated Terms. For material changes, CoorWorks will make reasonable efforts to notify you via email or through the Service.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Virginia.
